General Terms & Conditions of Sale

  1. Scope and parties
    These General Terms & Conditions of Sale (the “Terms”) apply to all offers, sales and deliveries of products (the “Products”) by [Your Company Name], a company organized under the laws of [Country/State], with its registered office at [address] (hereafter “Seller”, “we”, or “us”), to buyers (the “Buyer” or “you”). They prevail over any conflicting terms of the Buyer unless expressly agreed in writing.
  2. Definitions

  • “Order”: Buyer’s purchase order or checkout confirmation.
  • “Contract”: the agreement formed when the Seller accepts an Order.
  • “Price”: the amount payable for the Products excluding applicable taxes and shipping unless stated otherwise.
  1. Offers, conclusion of contract & order acceptance
    3.1 All offers are non‑binding unless expressly stated otherwise.
    3.2 An Order placed by the Buyer is an offer to purchase. The Seller may accept the Order by (a) sending an order confirmation email, (b) issuing an invoice, or (c) shipping the Products. Acceptance creates a binding Contract.
    3.3 The Seller may refuse Orders at its discretion (e.g., suspected fraud, product unavailability).
  2. Prices & taxes
    4.1 Prices are those displayed at the time of Order. Unless otherwise stated, prices exclude VAT, sales tax, customs duties and other governmental charges which the Buyer shall pay where applicable.
    4.2 The Seller may adjust prices prior to Order acceptance. After acceptance, prices may be adjusted only as allowed by these Terms.

  3. Payment
    5.1 Payment is due at the time and in the manner indicated at checkout or on the invoice. Accepted payment methods are shown on the Site.
    5.2 If payment is not received when due, the Seller may suspend performance, charge interest on overdue amounts at [X]% per annum (or the statutory default rate if higher), and recover collection costs.

  4. Delivery & transfer of risk
    6.1 Delivery terms, costs and estimated delivery times are as stated at checkout or in the Contract. Delivery times are estimates and not guaranteed.
    6.2 Risk in the Products passes to the Buyer upon handover to the carrier (or upon collection if Buyer collects). Title remains with the Seller until full payment of all amounts due, unless otherwise agreed in writing.

  5. Inspection & acceptance
    7.1 The Buyer must inspect delivered Products promptly upon receipt and notify the Seller in writing of any obvious defects, shortages or non‑conformities within 7 days. Hidden defects must be reported within a reasonable period after discovery.
    7.2 Failure to notify within these timeframes will be deemed acceptance of the Products.

  6. Returns, refunds & cancellations
    8.1 Cancellations: The Buyer may cancel an Order before shipment. After shipment, cancellations are subject to Seller’s returns policy.
    8.2 Returns: Returns and refunds are governed by the Seller’s Returns Policy (link). Returned Products must be unused, in original condition and packaging, except where defective. Return shipping costs may be borne by the Buyer unless the return is due to Seller error or defective Products.
    8.3 Refunds will be issued to the original payment method within a reasonable time after receipt and inspection of returned Products.

  7. Warranty & remedies
    9.1 The Seller warrants that, upon delivery, Products will substantially conform to their description and be free from material defects. This warranty does not apply to damage due to misuse, normal wear and tear, improper care, or modifications.
    9.2 For proven defects, the Buyer’s exclusive remedies are: repair, replacement, or refund at Seller’s discretion. If the Seller fails to remedy a defect within a reasonable time, the Buyer may seek a proportionate price reduction or contract rescission under applicable law.
    9.3 The foregoing warranty is in lieu of all other warranties to the maximum extent permitted by law.

  8. Liability limitation
    10.1 To the maximum extent permitted by applicable law, the Seller’s total liability for losses arising out of or related to any Contract will not exceed the Price paid for the affected Products.
    10.2 The Seller is not liable for indirect, special, incidental, consequential, punitive or lost‑profit damages. This limitation does not apply to personal injury or death caused by Seller’s negligence or to mandatory statutory liabilities.

  9. Force majeure
    The Seller is not liable for delay or non‑performance caused by events beyond its reasonable control (e.g., natural disasters, strikes, pandemics, government actions, supplier failures). Performance time will be extended for the duration of the disruption.

  10. Intellectual property
    All intellectual property rights in product designs, images, descriptions and the Site remain the Seller’s property. The Buyer may not reproduce or use such materials without prior written consent.

  11. Confidentiality
    Each party shall keep confidential commercially sensitive information received from the other and shall not disclose it except to employees, advisors or service providers on a need‑to‑know basis or as required by law.

  12. Personal data
    Processing of personal data is governed by the Seller’s Privacy Policy (link). By ordering, the Buyer consents to such processing.

  13. Export controls & compliance
    The Buyer shall comply with all export and import laws and regulations. The Buyer must not re‑export Products in violation of applicable laws.

  14. Assignment & set‑off
    16.1 The Buyer may not assign rights or delegate obligations under a Contract without Seller’s prior written consent.
    16.2 The Buyer may not set off any amounts owed to the Seller against undisputed claims without Seller’s prior written consent.

  15. Severability
    If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force.

  16. Notices
    Notices shall be in writing and delivered to the contact details in the Contract or displayed on the Site; notices are effective upon receipt.

  17. Changes to terms
    The Seller may update these Terms from time to time; changes will be posted on the Site with a revised “Last updated” date. Changes do not affect Contracts already formed unless expressly agreed.

  18. Governing law & dispute resolution
    These Terms and any Contract are governed by the laws of [State/Country]. Subject to mandatory consumer protections, disputes shall be submitted to the exclusive jurisdiction of the courts of [jurisdiction], or resolved by binding arbitration if agreed.
